01

Agreement to These Terms

These Terms & Conditions govern your use of the DigiRudra Insights website (digirudrainsights.com) and your dealings with DigiRudra Insights (“DigiRudra”, “we” or “us”), a digital agency based in India. By using the website, or by asking us for a quote or service, you agree to these terms.

If you and DigiRudra sign a proposal, statement of work or separate agreement for a project, that document applies to the project. If it conflicts with these terms, the project document wins.

If you do not agree with these terms, please do not use the website or our services. Our Privacy Policy explains how we handle your personal information.

02

About Our Services

DigiRudra Insights provides digital services for businesses, including:

  • Website design and development, including business websites, landing pages and web portals.
  • E-commerce websites on Shopify, WooCommerce and custom platforms.
  • SEO services and website performance improvements.
  • Social media marketing and content.
  • Paid advertising on Google Ads and Meta (Facebook and Instagram).
  • WhatsApp marketing and WhatsApp Business API setup.

The scope, deliverables, timelines, fees and responsibilities for each project are agreed with the client before work begins. Anything not listed in the agreed scope is not included.

03

Using This Website

You agree to use this website lawfully and not in a way that could damage, disable, overload or interfere with it, or with other people’s use of it. In particular, you must not:

  • Try to gain unauthorised access to the website, its servers or its data.
  • Use bots, scrapers or other automated tools to copy or collect content without our written permission.
  • Submit false, misleading or unlawful information through our forms.
  • Introduce viruses or any harmful code.

The content on this website is for general information about our services. We may update, change or remove it at any time without notice.

04

Quotes and Proposals

Details you send through our Get a Quote or contact forms are used to understand your requirements. Submitting an enquiry does not create a binding agreement for us to provide services, or for you to buy them.

Any proposal, quotation or scope of work from DigiRudra is based on the information you gave us and is valid for the period stated in it. A project starts only when you accept the proposal in writing (email or message is fine) and complete any advance payment it asks for. If the requirements change, we may revise the quote.

05

Payments and Project Terms

Project fees, payment schedules, deliverables, timelines, revision rounds and other commercial conditions are agreed with the client before the relevant work begins.

  • Invoices. Fees are quoted in Indian rupees unless we agree otherwise. GST and other applicable taxes are added where they apply.
  • Payment dates. Pay each invoice by the due date on it. If payment is late, we may pause work until it is received.
  • Ad spend. Advertising budgets paid to Google, Meta and other platforms are separate from our fees, unless we agree otherwise in writing.
  • Extra work. Work outside the agreed scope, or revisions beyond the agreed rounds, may be charged extra and starts only after your approval.
  • Refunds. Unless agreed in writing, fees for work already started or delivered are not refundable.
06

Timelines and Delivery

Any timeline we give is an estimate based on the agreed scope. It depends on you sending content, access and approvals on time. If information or feedback arrives late, the schedule moves by the same amount.

Please review deliverables promptly and send your feedback in one consolidated round where you can. Once you approve a deliverable, or use it live, we treat it as accepted, apart from fixing genuine defects in what we built.

07

Client Responsibilities

To deliver a project well, we need you to:

  • Give us accurate information, materials, credentials, approvals and other resources we reasonably need.
  • Share logins and access securely, and remove our access when the work is done.
  • Make sure you have the rights to use all text, images, logos, products and other materials you give us.
  • Comply with the laws that apply to your business, products, claims and advertising, and get the consents needed to message your customers, including on email and WhatsApp.
  • Respond to questions and approval requests in good time.

Delays in providing required information or approvals may affect project timelines.

08

Intellectual Property

Ownership and permitted use of designs, content, graphics, code, advertising materials and other deliverables depend on the terms agreed for the project. Unless agreed otherwise:

  • Your deliverables. Once you have paid in full, you own the final custom work we create for you.
  • Third-party items. Themes, plugins, fonts, stock images and similar items remain under their own licences, which you must follow.
  • Our tools. We keep ownership of our pre-existing tools, frameworks, templates and know-how, and may reuse them for other clients.
  • Your materials. What you supply stays yours. You allow us to use it only to deliver your project.
  • Portfolio. We may show finished, non-confidential work in our portfolio, unless you ask us in writing not to.

The content, design and branding of this website belong to DigiRudra Insights. You may not copy or reuse them without our permission.

09

Third-Party Platforms and Tools

Our services may involve third-party platforms and services such as Google Ads, Meta platforms, WhatsApp, Shopify, WooCommerce, hosting providers, analytics tools and payment providers.

These are run by their own providers and are subject to their own terms, policies, availability and pricing. We do not control them. A platform may change its rules, reject an ad, limit an account or suspend a service, and we are not responsible for decisions or outages on their side. We will tell you promptly if something affects your project, and help you respond where we can.

10

Results and Performance

We work to improve your visibility, traffic, leads and sales, but we cannot guarantee specific results. Search rankings, ad performance, social reach and sales depend on many things outside our control, including search engine and platform algorithms, competition, your market, your product and your budget.

Any figures, forecasts or examples we share are estimates or past outcomes, not promises of future results.

11

Confidentiality

Both sides may share non-public business information during a project. We will keep your confidential information private and use it only for your project, and we ask the same of you for ours. This does not cover information that is already public, or that we must disclose by law.

12

Disclaimers and Limitation of Liability

This website and its content are provided on an “as is” and “as available” basis. We try to keep it accurate and available but do not promise that it will always be error-free or uninterrupted.

To the fullest extent the law allows, DigiRudra is not liable for indirect or consequential losses, including lost profits, lost revenue, lost data or loss of business, arising from use of the website or our services. Our total liability for any claim relating to a service is limited to the fees you paid us for that service.

Nothing in these terms limits any liability that cannot be limited under applicable law.

13

Ending an Engagement

Either side can end a project by giving written notice, as set out in the project agreement. If you end a project, you pay for work completed up to that point, plus any costs we have already committed on your behalf.

We may pause or end work if invoices stay unpaid, if you breach these terms, or if continuing would break the law or a platform’s rules. After payment of all dues, we will hand over the deliverables you have paid for.

14

Governing Law and Disputes

These terms are governed by the laws of India. If a disagreement comes up, please contact us first, because most issues can be settled by a straightforward conversation. If it cannot be resolved that way, the courts in India with jurisdiction will have authority over it.

15

Changes to These Terms

We may update these terms from time to time. The “Last updated” date at the top shows the latest version. Changes apply from the date they are posted and do not affect the terms of a project already agreed in writing.

16
